This agreement

These Terms govern use of Medix, a clinic operating system provided by Baran Akkanat, an individual (the "Service Operator"). Medix is operated by a natural person, not by a company: there is no incorporated entity behind it and no company registration number, and the individual named here is personally the other party to this agreement. They form an agreement between the Service Operator and the organisation whose administrator accepts them (the "Clinic"). Where an individual practitioner uses Medix without a wider organisation, that practitioner is the Clinic for the purposes of these Terms.

Accepting these Terms requires authority to bind the Clinic. Members of staff invited to an existing workspace accept these Terms for their own use of the service; the Clinic remains responsible for the workspace as a whole.

What Medix provides

Medix is software for running a clinic: patient records, scheduling, clinical photography, messaging with patients, and the administrative functions surrounding them. It is provided as a hosted service and accessed over the internet and through Medix applications.

Medix does not practise medicine. It does not diagnose, treat, prescribe, triage, or offer clinical judgement of any kind, and nothing it displays is medical advice. Every clinical decision is made by the Clinic's own qualified staff, who remain solely responsible for it. Medix must not be used as a medical device or as the sole record where law requires another.

Accounts and access

Each person uses their own account. Accounts are not shared, and the Clinic is responsible for who it invites, what role it grants them, and removing access when someone leaves.

  • Keep account credentials confidential and do not reuse them elsewhere.
  • Grant each member of staff the narrowest role that lets them do their work.
  • Remove access promptly when a person no longer needs it.
  • Tell the Service Operator without undue delay if an account is compromised.

The Clinic's responsibilities

The Clinic decides what data it puts into Medix and why, and is responsible for the lawfulness of doing so.

  • Obtaining valid patient consent where the law requires it, including for clinical photography and for messaging patients.
  • Complying with the healthcare, professional and data-protection law that applies to it.
  • The accuracy of the records it keeps and the retention periods it configures.
  • Ensuring its staff use Medix in line with these Terms.

Acceptable use

Medix may be used only for legitimate healthcare operations.

  • Do not attempt to access data belonging to another clinic or to any person you are not authorised to see.
  • Do not probe, scan, or attempt to defeat the service's access controls, except under a written security-testing agreement with the Service Operator.
  • Do not reverse engineer, resell, or systematically extract the service or its data other than through features Medix provides for that purpose.
  • Do not use Medix to send unlawful, deceptive or unsolicited commercial messages to patients.

Patient data and the roles of the parties

For patient data, the Clinic is the data controller and the Service Operator is a data processor acting on the Clinic's documented instructions. The Clinic owns its patient data; the Service Operator does not sell it, does not use it for advertising, and does not use it to train models.

A data processing agreement governs that relationship in detail and takes precedence over these Terms wherever the two address the same subject. The Privacy Policy describes what the Service Operator processes and which sub-processors are involved.

Subscriptions, trials and payment

Medix is offered on a subscription. New clinics begin with a trial period of 14 days unless stated otherwise at sign-up. Features vary by plan, and the plan in effect determines what is available.

Subscriptions purchased on the web are billed through Stripe. Subscriptions purchased inside the iOS or Android applications are billed by Apple or Google under their own terms, and are cancelled and refunded through the store that sold them rather than by the Service Operator. A clinic already billed by a store cannot be billed again on the web for the same subscription.

The Clinic may cancel at any time; cancellation stops future renewals and takes effect at the end of the paid period. Fees already paid are not refunded except where required by law or where the Service Operator states otherwise in writing.

Availability and support

The Service Operator works to keep Medix available and secure, but does not commit to a specific uptime level under these Terms. Planned maintenance, third-party outages and emergency work can interrupt the service.

Support is available at support@medix.healthcare. Suspected security problems should be reported to the address published on the Medix support page and will be treated as a priority.

Suspension and termination

The Service Operator may suspend access where an account is being used to break these Terms, where payment has failed, or where continued access presents a security or legal risk. Where circumstances allow, notice is given first and suspension is limited to what the problem requires.

The Clinic may stop using Medix at any time. Termination by either party does not remove the Clinic's obligation to pay fees already due.

Getting your data out, and deletion

The Clinic can export its data while its account is active. After termination, the Service Operator retains the Clinic's data for a limited wind-down period so that it can still be exported, and then deletes it in line with the data processing agreement and applicable law.

Retention periods for patient records, clinical photographs and audit logs are configured by the Clinic. When a record passes its retention period Medix notifies the Clinic rather than deleting it automatically, because deciding that a medical record may be destroyed is the Clinic's decision and not a background job's. Audit records are kept as an integrity measure and are not editable from within the product.

Intellectual property

The Service Operator retains all rights in Medix itself, including its software, design and documentation. The Clinic retains all rights in its own data. Nothing in these Terms transfers ownership of either.

Warranties and disclaimers

Medix is provided as it is. To the extent the law allows, the Service Operator makes no warranty that the service will be uninterrupted, error free, or fit for a particular purpose, and gives no warranty that it satisfies any specific regulatory obligation the Clinic is subject to. Statutory rights that cannot be excluded are unaffected.

Medix has not been certified under any information-security or healthcare accreditation scheme, and no representation of such certification is made.

Liability

To the extent the law allows, neither party is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be limited. Liability for clinical decisions rests with the Clinic and its staff.

Changes to these Terms

A change is published as a new version with its own effective date. Acceptance of one version is not acceptance of another: when a new version takes effect, users are asked to accept it before continuing to use Medix. Every earlier version remains readable for as long as anyone has accepted it, and the record of what each person accepted is not rewritten.

Governing law and disputes

These Terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Istanbul, Türkiye have jurisdiction over any dispute arising from them. Mandatory consumer or data-protection rights available under the law of the Clinic's own country are unaffected.
